1. Definitions

The general terms and conditions set out below apply to all services offered by S & A Painting and Decorating Ltd through the website sadecorating.co.uk (including any subdomains such as dev.sadecorating.co.uk). These terms may be updated from time to time by S & A Painting and Decorating Ltd without prior notice.

In these Terms and Conditions:

Buyer / Client – any natural or legal person who requests a quotation, places a booking, signs an agreement or otherwise engages S & A Painting and Decorating Ltd to provide services.

Seller / ContractorS & A Painting and Decorating Ltd, registered office: 10 Lomax Gardens, Wootton, Bedford, MK43 9RL, United Kingdom.

Goods – any materials, paints, coatings, wallpapers or other physical items supplied by the Seller as part of the services.

Services – all decorating, painting, preparation, consultation and related services provided by the Seller to the Buyer.

Order – any written or electronic acceptance of a quotation, estimate or offer, including acceptance by email, online form or signed document.

Contract – an Order that has been confirmed by the Seller (for example, via written confirmation, email, signed quote or invoice).

Intellectual Property Rights – all intangible rights such as copyrights, trademarks, design rights, domain names, database rights, know-how and any other proprietary rights belonging to the Seller.

Site – the domain sadecorating.co.uk and any related subdomains (including dev.sadecorating.co.uk).

2. Contractual documents

By requesting a quote, placing an Order or using the Site, the Buyer agrees that communication with the Seller may take place by email, telephone or other electronic means.

Each Contract between the Buyer and the Seller will normally consist of:

  • The written quotation or estimate issued by the Seller and accepted by the Buyer (including any agreed variations in writing).
  • Any specific terms included in the Order confirmation (email or signed document).
  • These Terms and Conditions.

If the Seller confirms an Order, this constitutes full acceptance of the terms of that Order as amended or clarified by the Seller’s confirmation. Acceptance is deemed to occur when the Buyer receives written or electronic confirmation (e.g. email, invoice or signed quotation) from the Seller.

Prices and availability stated in quotations are normally valid for the period specified in the quotation. If no period is stated, quotations are usually valid for up to 30 days, but the Seller may update or withdraw prices and offers at any time before a Contract is formed.

3. Seller’s obligations

  • The Seller will use reasonable professional skill and care to carry out the Services as described in the agreed quotation and/or Order.
  • The Seller will provide appropriately trained and experienced personnel and use suitable materials for the agreed work, unless otherwise specified by the Buyer and accepted by the Seller.
  • The information presented on the Site is for general guidance and may be updated or changed at any time. While the Seller aims to keep descriptions accurate, small differences may exist between images / examples shown online and the actual Services or finishes delivered on site.
  • The Seller will take reasonable steps to protect the Buyer’s property (such as using dust sheets and masking where appropriate), but the Buyer is responsible for removing valuable, fragile or irreplaceable items from the work area before work begins.

4. Intellectual and industrial property rights

The Buyer acknowledges that all intellectual property rights relating to the Site, branding and marketing materials of S & A Painting and Decorating Ltd remain the exclusive property of the Seller.

This includes, but is not limited to: logos, trade names, design elements, text, project photographs, graphics and site layout. These may not be copied, reproduced, distributed, published or used in any way for commercial purposes without the Seller’s prior written consent.

The Buyer may not remove any copyright, trademark or other proprietary notices contained on or in the Site or associated materials.

5. Rights to the content of the site

Unless otherwise stated, all content on the Site – including text, images, graphics, layout, icons and downloads – is owned by or licensed to S & A Painting and Decorating Ltd.

Content may be viewed or printed for personal, non-commercial use only. It is prohibited to copy, modify, redistribute, republish, sell or exploit any part of the Site for commercial purposes without prior written permission from the Seller.

Short excerpts (for example, for reviews, social media or press mentions) may be used if the source is clearly referenced as “S & A Painting and Decorating” with a link to sadecorating.co.uk, provided such use does not harm the reputation or misrepresent the services of the Seller.

6. Limitation of liability

The Seller aims to provide accurate information on the Site and to deliver Services to a high professional standard. However, the Seller gives no guarantee that the Site will be error-free, uninterrupted or free from technical issues.

The Seller is not liable for:

  • Any indirect, incidental, special or consequential loss (including loss of profit or loss of opportunity) arising out of the use of the Site or the Services.
  • Damage arising from delays or interruptions caused by circumstances beyond the Seller’s reasonable control (such as severe weather, illness, transport issues or supplier delays).
  • Minor variations in colour, shade or finish caused by differences between batches of paint, lighting conditions or underlying surfaces.

Nothing in these Terms excludes or limits the Seller’s liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded under applicable law.

To the fullest extent permitted by law, the maximum aggregate liability of the Seller to any Buyer in respect of a Contract is limited to the total price paid or payable by the Buyer under that Contract.

7. Newsletter subscriptions and updates

Visitors to the Site may choose to subscribe to email newsletters, updates or offers. Subscriptions are entirely optional and may be cancelled at any time using the unsubscribe link in each email or by contacting the Seller at contact@sadecorating.co.uk.

Subscribers are responsible for ensuring that the email address provided is correct and up to date.

8. Cookies policy

The Site may use cookies and similar technologies to improve functionality, analyse traffic and remember user preferences.

The price, payment method and payment schedule for Services will be set out in the quotation and/or invoice. Unless otherwise agreed in writing, the Seller may require a deposit before starting work, with the balance due upon completion.

The Buyer agrees to provide accurate billing details so that invoices can be correctly issued and delivered (typically by email).

By accepting a quotation, the Buyer agrees to receive invoices in electronic form at the email address they have provided.

Payments are considered received when cleared funds reach the Seller’s bank account or when payment is confirmed by the payment provider used.

10. Responsibilities

  • The Seller will supply Goods and Services using reasonable skill and care, following the agreed specification in the quotation and any written variations.
  • The Seller will take reasonable care when using access equipment and working at height, and will comply with relevant safety regulations.
  • The Buyer is responsible for ensuring clear and safe access to the property on the agreed dates and for informing the Seller of any special access, parking or safety requirements.
  • The Buyer must ensure that walls, ceilings and other surfaces are free from structural defects, damp or contamination that could affect the performance of paints or coatings, unless such issues have been specifically included in the scope of work.
  • The Seller is not responsible for delays or additional costs caused by hidden defects or conditions not reasonably visible at the time of quotation (for example, extensive damp, loose plaster, rot, asbestos or structural movement). In such cases, the Seller will discuss options and may issue a revised quotation.

11. Service delivery

Decorating Services are usually carried out at the Buyer’s property at dates and times agreed in advance. The Seller will make reasonable efforts to adhere to agreed start dates and timescales, but all dates are estimates and may be affected by factors beyond the Seller’s control (for example, weather for exterior work, drying times, supplier delays).

If the Buyer needs to change a booking date, they should notify the Seller as early as possible. The Seller will try to accommodate changes but cannot guarantee availability on requested replacement dates.

If the Seller is unable to attend on the agreed date due to illness, severe weather or other serious issues, the Buyer will be informed as soon as reasonably possible and an alternative date will be proposed.

12. Acceptance

On completion of the Services, the Buyer is encouraged to inspect the work with the Seller and raise any concerns within a reasonable period (normally within 7 days). If the work is considered to conform to the agreed specification, the Services are deemed accepted.

If the Buyer identifies reasonable defects or areas that do not conform to the agreed specification, the Seller will, at its discretion and within a reasonable period, make good those areas at no additional cost, provided the issues are not caused by misuse, damage or conditions outside the Seller’s control.

13. Transfer of ownership

Any Goods supplied by the Seller (such as paints or materials) remain the property of the Seller until paid for in full by the Buyer. Once full payment is received, ownership of any remaining Goods left on site passes to the Buyer.

14. Cancellation and rescheduling

The Buyer may cancel or reschedule a booking by giving reasonable notice in writing (including by email to contact@sadecorating.co.uk).

Where significant costs have been incurred by the Seller in preparing for the work (for example, purchasing non-returnable materials specifically for the project), the Seller reserves the right to charge for those costs if the Buyer cancels without reasonable notice.

If the Seller needs to cancel or reschedule, they will give the Buyer as much notice as reasonably possible and will offer alternative dates. The Seller will not be liable for any indirect loss resulting from such rescheduling.

15. Processing of personal data

The Seller collects and processes personal data (such as name, contact details, address and information about the property) for the purpose of:

  • Providing quotations and carrying out Services.
  • Issuing invoices and maintaining accounting and tax records.
  • Responding to enquiries, feedback and complaints.
  • Sending optional marketing communications where consent has been given or where permitted by law.

Personal data is processed in accordance with applicable data protection law (including the UK GDPR and Data Protection Act 2018). The Seller takes appropriate technical and organisational measures to protect personal data against unauthorised access, loss or misuse.

Personal data is kept only for as long as necessary for the purposes for which it was collected, or as required by law (for example, retention of accounting records).

16. General information about personal data

In most cases, the legal grounds for processing personal data include one or more of the following:

  • The processing is necessary for the performance of a Contract with the Buyer or to take steps at the Buyer’s request prior to entering into a Contract.
  • The processing is necessary to comply with the Seller’s legal obligations (for example, tax and accounting obligations).
  • The processing is based on the Buyer’s consent (for example, for certain types of marketing communications).
  • The processing is necessary for the Seller’s legitimate interests (for example, improving services, handling enquiries and maintaining business records) and these interests are not overridden by the Buyer’s rights and freedoms.

17. Users’ rights regarding personal data

Subject to certain legal conditions and exceptions, individuals whose data is processed by S & A Painting and Decorating Ltd have the following rights:

  • Right of access – to request a copy of the personal data held about them.
  • Right to rectification – to request correction of inaccurate or incomplete personal data.
  • Right to erasure – to request deletion of personal data in certain circumstances.
  • Right to restriction – to request limitation of processing in certain circumstances.
  • Right to object – to object to processing based on legitimate interests or for direct marketing.

18. Force majeure

Neither party shall be liable for any delay or failure to perform its obligations under a Contract if such delay or failure results from events or circumstances beyond its reasonable control (for example, severe weather, fire, flood, pandemic restrictions, acts of government, strikes, or failure of suppliers or transport).

If a force majeure event occurs, the affected party shall inform the other party as soon as reasonably possible and take reasonable steps to minimise the impact. Where appropriate, new dates for the performance of the obligations will be agreed.

19. Applicable law and jurisdiction

These Terms and Conditions, and any Contract between the Buyer and S & A Painting and Decorating Ltd, are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising out of or in connection with these Terms or any Contract shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory law requires otherwise.

20. Special offers

From time to time, the Seller may run promotions, discounts or special offers. The details and specific conditions of any such offers will be communicated separately (for example, on the Site, in emails or on social media).

Unless explicitly stated otherwise, special offers:

  • Cannot be combined with other discounts or promotions.
  • Apply only for a limited period.
  • May be withdrawn or amended at any time at the Seller’s discretion.

21. Changes to these terms and conditions

S & A Painting and Decorating Ltd reserves the right to update or modify these Terms and Conditions at any time, without prior notice. The latest version will always be available on sadecorating.co.uk.

By continuing to use the Site or by engaging the Seller’s Services after any changes have been published, the Buyer is deemed to have accepted the updated Terms and Conditions. If the Buyer does not agree with any changes, they should stop using the Site and not enter into new Contracts with the Seller.
